1. Agreement and eligibility
These Terms and Conditions ("Terms") govern access to rdelab.in and the software development, consulting, implementation, maintenance, and SaaS services provided by Rdelab Technologies Private Limited ("Rdelab", "we", "us", or "our"). A client, account holder, or other person using those services is "you" or the "Client".
By using the website, creating an account, placing an order, or signing a proposal or statement of work ("SOW"), you agree to the applicable Terms. If you act for a company or other organisation, you confirm that you have authority to bind it. If you do not agree, do not use the relevant service.
Where a signed SOW, order form, or SaaS plan term conflicts with these general Terms, the specific written term controls for that engagement only. Mandatory consumer and other non-waivable legal rights remain unaffected.
2. Services and SaaS
Project scope, deliverables, milestones, fees, dependencies, acceptance criteria, and delivery estimates are described in the applicable SOW or order form. Website descriptions and estimates are informational and do not create a commitment unless included in a written agreement.
SaaS features, usage limits, subscription price, renewal interval, and support or uptime commitments are those displayed at purchase or in the applicable plan terms. We may maintain, update, or improve a service. We will use reasonable efforts to give notice of material changes that substantially reduce a paid feature, except for security, legal, or urgent operational changes.
Delivery dates depend on timely client decisions, access, content, and third-party services. If a dependency is delayed, the parties will agree a reasonable schedule adjustment.
3. Proposals and project terms
A proposal becomes binding when accepted in the manner stated in it, including signature, written approval, or payment where expressly specified. The resulting SOW sets the project-specific terms and identifies client responsibilities and acceptance criteria.
Changes to scope, assumptions, deliverables, or timing require a written change order approved by both parties. Neither party is required to begin changed work before agreeing its impact on fees and schedule. Each party will appoint a contact authorised to give project approvals.
4. Accounts and user responsibilities
You must provide accurate account and billing information, keep credentials confidential, use reasonable security measures, and promptly notify us of suspected unauthorised access. You are responsible for activity under your account except to the extent caused by our breach or applicable law.
You must use the website and services lawfully and must not: (a) infringe another person's rights; (b) upload malware or attempt to disrupt, probe, or gain unauthorised access to systems; (c) reverse engineer or misuse a service except where applicable law permits; (d) evade usage or security limits; or (e) use the service to transmit unlawful, deceptive, or harmful content.
You retain responsibility for the accuracy, permissions, and legality of materials and instructions you provide. You must obtain all consents and rights needed for Rdelab to use those materials to perform the services.
5. Fees, taxes, and payment
Fees, currency, billing milestones, subscription interval, and due dates are stated in the applicable SOW, order form, or plan. Unless otherwise stated, invoices are due within the period shown on the invoice. You are responsible for applicable taxes, duties, and bank or currency-conversion charges, excluding taxes on Rdelab's income.
We may give written notice of an overdue undisputed amount and a reasonable opportunity to cure before suspending affected work or access. You should promptly identify any invoice dispute in writing and pay undisputed amounts when due. Refunds and cancellations are governed by the Refund and Cancellation Policy and any more specific SOW or plan terms.
Subscription renewals and cancellation take effect as described at purchase. Cancelling generally stops future renewals and does not automatically refund a current billing period, subject to the plan terms and mandatory law.
6. Intellectual property
Each party retains ownership of its pre-existing materials, software, methods, tools, trademarks, and other intellectual property. You retain rights in materials you provide and grant Rdelab a limited, non-exclusive licence to use them only as reasonably necessary to perform the services.
Unless the SOW states otherwise, after full payment of all amounts due for the relevant project, Rdelab assigns to you its transferable rights in the project-specific deliverables identified for assignment in that SOW. Until payment, Rdelab grants no right to use those unpaid deliverables except for review and testing within the engagement.
Rdelab retains its pre-existing materials, general know-how, reusable components, development tools, and improvements that are not unique client deliverables. If such material is incorporated into a delivered project, Rdelab grants you a perpetual, worldwide, non-exclusive, royalty-free licence to use it as part of that deliverable. Third-party and open-source components remain subject to their own licences; we will identify material restrictions where reasonably practicable.
For SaaS services, Rdelab and its licensors retain the service and its underlying software. Subject to these Terms and payment, you receive a limited, non-transferable right for authorised users to access the service during the subscription term.
7. Confidentiality and data
Each party may receive non-public information from the other. The receiving party will use it only for the engagement, protect it with reasonable care, and disclose it only to personnel or service providers who need it and are bound by confidentiality duties. These duties do not apply to information that is public without breach, independently developed, or lawfully received without a duty of confidence. A party required by law to disclose information will, where legally permitted, give advance notice.
Each party will comply with data-protection laws applicable to its role. Rdelab's handling of personal information is described in the Privacy Policy. If a project requires specific data-processing terms, the parties will agree them in writing before that processing begins.
8. Third-party services
Services may rely on hosting, payment, communications, software, or other third-party providers. Their availability and terms are controlled by those providers. You agree to applicable third-party terms when using those services. Rdelab is not responsible for an independent provider's acts or outages, but will use reasonable efforts to coordinate where the provider is part of an agreed project.
Third-party fees, licences, and usage charges are your responsibility where disclosed in the SOW, order, or plan. We will obtain approval before committing you to a material pass-through charge unless the written agreement already authorises it.
9. Warranties and disclaimers
Each party warrants that it has authority to enter into its applicable agreement. Rdelab will perform paid services with reasonable skill and care and will use reasonable efforts to correct a reproducible material failure to meet the written acceptance criteria reported within the applicable review period.
Except for express commitments in a signed SOW and warranties that cannot legally be excluded, the website and services are provided on an "as available" basis. We do not warrant uninterrupted or error-free operation, a particular business outcome, or compatibility with systems outside the agreed scope. Nothing in these Terms excludes a warranty or remedy that applicable law does not allow us to exclude.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive, or consequential loss, or loss of profits, revenue, business opportunity, goodwill, or data, arising from the agreement, even if advised that such loss was possible.
To the maximum extent permitted by law, each party's total aggregate liability arising out of a particular SOW or subscription during the twelve (12) months before the event giving rise to the claim will not exceed the fees paid or payable under that SOW or subscription during that period. This cap does not apply to liability that cannot lawfully be limited, or to a party's fraud, wilful misconduct, or infringement/misappropriation of the other party's intellectual property or confidentiality obligations where such limitation is prohibited by law. Any contractual cap remains subject to mandatory consumer protections.
11. Indemnity
Each party will be responsible for third-party claims to the extent caused by its own unlawful conduct, breach of these Terms, or infringement of third-party rights. You are responsible for claims arising from materials or instructions you supply, except to the extent caused by Rdelab's unauthorised alteration or use.
A party seeking protection must give prompt notice, reasonable cooperation, and control of the defence to the responsible party; no settlement may impose an admission, payment, or ongoing obligation on the other party without its written consent. This section does not expand liability beyond what applicable law permits.
12. Suspension and termination
Either party may terminate an SOW for material breach if the breach is not cured within thirty (30) days after written notice, or within a shorter reasonable period where the breach cannot be cured or creates an urgent security or legal risk. An SOW may also be terminated as its own terms provide.
Rdelab may suspend access or work where reasonably necessary to address a security threat, unlawful use, material service disruption, or overdue undisputed fees after written notice and a reasonable opportunity to cure, unless immediate action is necessary to protect users or systems. We will limit a suspension to what is reasonably necessary and restore access when the cause is resolved.
On termination, you must pay fees for work performed and approved non-cancellable commitments through the effective date. Any prepaid amount for services not provided will be handled under the SOW, plan terms, and Refund and Cancellation Policy. SaaS access ends at the end of the paid term unless earlier termination is permitted or required. Sections that by their nature should survive, including payment, intellectual property, confidentiality, liability, and dispute terms, will survive.
13. Dispute resolution
If a dispute arises, the parties will first refer it to their designated representatives for a good-faith discussion. Either party may send a written notice describing the issue and requested resolution. The representatives will try to resolve it within thirty (30) days, or another period agreed in writing.
This process does not prevent either party from seeking urgent interim relief or from exercising a non-waivable right before a competent court, consumer forum, or regulator.
14. Governing law and courts
These Terms and any non-contractual obligations arising from them are governed by the laws of India. Subject to applicable law and the jurisdiction of any competent consumer forum or regulator, the courts at Patna, Bihar, India will have exclusive jurisdiction over disputes arising from these Terms.
This clause applies only to the extent that the selected courts may lawfully exercise jurisdiction over the parties and dispute. It does not waive any mandatory right to bring a claim in another forum under applicable law.
15. Changes to these Terms
We may update these Terms to reflect changes to our services, legal requirements, or business practices. We will post the revised Terms with a new effective date and, where required, give notice through the service or by email. Changes apply prospectively; material changes to an existing paid engagement require any consent required by law or the applicable agreement.
If a provision is found unenforceable, it will be modified only as much as necessary and the remaining provisions will continue. A failure to enforce a provision is not a waiver. These Terms, together with the applicable SOW or order, are the entire agreement on their subject matter and replace prior discussions on that subject.
